These Terms of Service ("Terms") govern your access to and use of the Teqll platform ("Teqll", "we", "us", or "our"), including the website, smart contracts, and all related services. By creating an account or using any part of the platform you agree to be bound by these Terms. If you do not agree, do not use Teqll.
Teqll provides a peer-to-peer marketplace secured by a non-custodial smart contract deployed on BNB Smart Chain ("BSC"). When a buyer creates a deal, funds are locked inside the smart contract — not held by Teqll — and are released only according to the on-chain rules described in these Terms. Teqll does not hold, control, or have access to funds once they are deposited into the contract.
The escrow contract is immutable: once deployed it cannot be modified, paused, or upgraded by Teqll. You interact with the contract directly through your own cryptocurrency wallet. You are solely responsible for verifying that the on-chain deal terms match the terms agreed off-chain before delivering or accepting goods or services.
Creation and funding. A deal is created and funded in a single on-chain transaction called createAndFund. The buyer must deposit the agreed deal amount plus the applicable platform fee in a single transaction. No deal exists on-chain until it is funded. By sending the funding transaction you confirm that the on-chain terms (amount, seller wallet, fee split) match the terms you agreed to off-chain.
Release. Once a buyer confirms satisfactory delivery, they may release funds to the seller. The buyer may also authorise a partial release of an agreed milestone amount at any time. Teqll charges a 2% platform fee on every deal; the fee is deducted from the locked amount before the net proceeds reach the seller.
Refund and cancellation. Either party may initiate a mutual cancellation before delivery. If the seller accepts, the buyer receives a full refund of the deal amount; the platform fee is not charged on a mutually cancelled deal. Unilateral cancellation is not permitted once the deal is funded.
Auto-expiry. A funded deal that has not been released, refunded, or disputed within the platform inactivity window (currently 90 days from the last state change) may be claimed as a refund by the buyer.
Either the buyer or the seller may open a dispute on a funded deal. Once a dispute is open, funds remain locked in the smart contract and the Teqll admin reviews the evidence submitted through the platform.
Cancelling a dispute. A dispute may be cancelled by the party who opened it, subject to a 12-hour cooldown period from the moment the dispute was opened. This ensures the admin always has a minimum window to review the dispute before it is withdrawn.
Admin resolution. The Teqll admin may resolve a dispute by releasing funds to the seller, refunding the buyer, or splitting the locked amount between both parties. The admin can only direct funds to the deal's own buyer or seller — never to any third address — and can never access funds in a deal that has no open dispute.
Expired dispute. If a dispute is not resolved by the admin before the 90-day deadline, either party may call the permissionless claimExpiredDispute function to auto-settle in favour of the dispute opener.
Teqll dispute decisions are final within the limits of the platform. Teqll is not an arbitration service and its decisions do not constitute legal arbitration under any applicable arbitration law.
Teqll charges a flat 2% platform fee on the gross deal amount. The fee is split between buyer and seller according to the per-deal seller fee percentage agreed at deal creation. For example, if the seller fee percentage is 100%, the entire 2% is deducted from the seller's proceeds; if it is 0%, the buyer pays the full 2% on top of the deal amount.
Fees are non-refundable except on mutually cancelled deals (where no fee is charged) and on direct refunds (buyer-wins outcomes in admin resolution), where the platform fee is returned to the buyer.
Teqll reserves the right to adjust its fee structure with 30 days' notice published on the platform. Fee changes do not affect deals already funded on-chain.
You must connect a self-custodied cryptocurrency wallet (e.g. MetaMask or another WalletConnect-compatible wallet) to use Teqll. You are solely responsible for the security of your wallet, private keys, and seed phrase. Teqll never has access to your private key or seed phrase.
All on-chain transactions are irreversible once confirmed by the BSC network. You are responsible for ensuring sufficient network gas (BNB) and for verifying transaction details before signing. Teqll is not liable for any loss resulting from incorrect transaction parameters, network congestion, or wallet compromise.
BSC network conditions, including gas prices and block confirmation times, are outside Teqll's control. Teqll makes no guarantee of transaction processing speed or finality.
You agree not to use Teqll to:
Teqll reserves the right to suspend or terminate accounts that violate these rules, refuse to process transactions, and report suspected illegal activity to appropriate authorities. Teqll's ability to act on-chain is limited to admin functions described in Section 3; account suspension affects only platform access, not on-chain funds already locked in the smart contract.
You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) to use Teqll. By using the platform you represent and warrant that you meet this requirement and that you are not located in a country subject to comprehensive sanctions (including OFAC SDN-listed jurisdictions).
Teqll does not currently hold a money-services licence in any jurisdiction. It is your responsibility to determine whether using a blockchain escrow service is lawful in your jurisdiction.
All platform content, trademarks, logos, and software owned by Teqll remain the exclusive property of Teqll. You retain ownership of content you submit (listings, portfolio items, messages), and you grant Teqll a limited, non-exclusive licence to display that content to facilitate transactions on the platform.
The Teqll smart contract source code is published under an open-source licence (see the project repository). Use of the source code is governed by that licence.
Teqll is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, or uninterrupted availability.
To the maximum extent permitted by law, Teqll's total liability to you for any claim arising out of or related to these Terms or your use of the platform is limited to the greater of (a) the platform fees paid by you to Teqll in the 12 months preceding the claim, or (b) USD 100. Teqll is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits or loss of cryptocurrency.
Teqll does not guarantee that the smart contract is free from bugs or vulnerabilities. Although the contract has been audited and tested, blockchain software carries inherent risk. You use the platform at your own risk.
You agree to indemnify and hold harmless Teqll and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the platform, your breach of these Terms, or your violation of any third-party right.
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Teqll is registered, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the platform shall first be submitted to good-faith negotiation. If unresolved within 30 days, it shall be referred to binding arbitration under the rules of a mutually agreed arbitration body, with proceedings conducted in English.
Teqll may update these Terms from time to time. When we do, we will revise the "Effective date" at the top of this page and notify registered users by email or in-platform notification. Your continued use of the platform after the effective date of any changes constitutes acceptance of the updated Terms.
